Using the services of private detectives to protect the rights and legitimate interests of creditors in a bankruptcy case.

Bankruptcy proceedings are an essential component of the activities of arbitration courts. One of the measures used in the bankruptcy case to protect creditors' rights by returning illegally alienated property to the debtor’s bankruptcy estate is to challenge the debtor’s transactions in the manner prescribed by Chapter III.1 of the Federal Law “On Insolvency (Bankruptcy)” dated 10.26.2002 No. 127-FZ (hereinafter referred to as the Bankruptcy Law). This chapter contains special (with respect to those established by the Civil Code of the Russian Federation) compositions of the invalidity of the debtor's transactions, namely suspicious transactions and transactions with preference, rules on the consequences of their invalidity and procedural features of the filing and consideration of an application to challenge the debtor's transaction in a bankruptcy case.

The significance of the institution of contesting transactions of the debtor is clearly manifested in the fact that the identification of transactions that do not comply with the legislation of the Russian Federation, including suspicious transactions and transactions with preference, as well as transactions concluded or executed on conditions that do not correspond to market conditions, is one of the stages verification by arbitration managers of signs of fictitious and intentional bankruptcy. The execution by the leader or founder of the debtor of actions (inaction) containing such signs, depending on the size of the damage caused, entails administrative (part 2 of article 14.12 of the Administrative Code) or criminal (article 196 of the Criminal Code of the Russian Federation) liability.

It is often difficult to identify the debtor’s illegal transactions in a bankruptcy case and challenge them, since the debtor and its interested parties destroy or distort information about circumstances that are relevant to this category of cases. In some situations, clarifying these circumstances requires special powers that arbitration managers and creditors do not have in a bankruptcy case. In such cases, persons engaged in private detective work can provide invaluable assistance in protecting the rights and legitimate interests of creditors. We will dwell in more detail on how the services of private detectives can be used to identify and prove the necessary legally significant circumstances to dispute suspicious transactions, that is

transactions concluded by the debtor in order to cause damage to the property rights of creditors (paragraph 2 of Article 61.2 of the Bankruptcy Law).

In 2010, issues arising in judicial practice related to the application of Chapter III.1 of the Bankruptcy Law were clarified in Resolution of the Plenum of the Supreme Arbitration Court of the Russian Federation dated December 23, 2010 No. 63 (hereinafter referred to as Resolution of the Plenum of the Supreme Arbitration Court of the Russian Federation No. 63). Paragraphs 5–7 of the said resolution provide clarifications regarding the contestation of suspicious transactions of the debtor.

In order to recognize a transaction as invalid on this basis, it is necessary that the person contesting the transaction prove, among other things, that the other party to the transaction knew or should have known at the time of the transaction that the debtor had the goal of harming the property rights of the creditors.

The purpose of causing damage to the property rights of creditors is assumed if, at the time of the transaction, the debtor met the sign of insolvency or insufficiency of property, and there is at least one of the other circumstances provided for in paragraphs 2 - 5 of clause 2 of Art. 61.2 of the Bankruptcy Law. Among such circumstances, it is worth highlighting situations where the debtor changes his place of residence or location without notifying creditors immediately before or after the transaction, hiding his property, destroying or distorting documents of title, accounting, other reporting documents, accounting documents.

These facts may not be obvious and require the implementation of detective activities included in the powers of private detectives.

By virtue of para. 1 p. 2 Article 61.2 of the Bankruptcy Law and within the meaning of the explanations contained in paragraph 7 of the Resolution of the Supreme Arbitration Court of the Russian Federation No. 63, it is assumed that the other party to the transaction was aware of the transaction in order to harm the property rights of creditors, if it is recognized as an interested person, or if it knew or I should have known about the infringement of the interests of the creditors of the debtor or about the signs of insolvency or insufficiency of the property of the debtor.

The concept of an interested party is disclosed in Art. 19 Bankruptcy Law. For example, affiliated persons of the debtor are recognized as interested, as well as a wide range of persons who are in a relationship of kinship or property with the head of the debtor, members of the governing bodies, chief accountant, including those relieved of their duties during the year until the initiation of proceedings in the case of bankruptcy.

As noted earlier, the debtor and its interested parties conceal in every possible way circumstances that indicate their interest, for example, by changing surnames, replacing allegedly lost passports with new ones that do not contain marks on marriage registration, etc. Establishing these facts can also be the subject of detective activity private detectives.

The activities of private detectives are regulated by the Law of the Russian Federation dated 11.03.1992 No. 2487-1 “On Private Detective and Security Activities in the Russian Federation” (hereinafter - the Law on Private Detective Activity). In Art. 3 of the mentioned law lists the services that are allowed to provide private detectives. Among the services that can be used to identify and subsequently challenge the debtor's suspicious transactions are:

1) collection of information on civil cases on a contractual basis with participants in the process (paragraph 1 of paragraph 2 of article 3 of the Law on private detective activity);

2) market research, collection of information for business negotiations, identification of insolvent or unreliable business partners (paragraph 2 of Part 2 of Article 3 of the Law on Private Detective Activity);

3) the search for property lost by citizens or enterprises, institutions, organizations (paragraph 6 of part 2 of article 3 of the Law on private detective activity);

4) the search for the person who is the debtor in accordance with the writ of execution, his property (paragraph 8 of part 2 of article 3 of the Law on private detective activity).

In order to provide these services, private detectives have the right to conduct an oral survey of citizens and officials (with their consent), make inquiries, study objects and documents (with the written consent of their owners), conduct an external examination of buildings, premises and other objects, monitor for the necessary information . When conducting private detective activities, the use of video and audio recordings, film and photography, technical and other means that do not harm the life and health of citizens and the environment, in accordance with the legislation of the Russian Federation (parts 1 and 2 of article 5 of the Law on private detective work).

It is obvious that in modern bankruptcy processes, where debtors and their controlling parties use increasingly sophisticated schemes for avoiding settlements with creditors, the use of private detective services is a promising area for protecting the rights and legitimate interests of creditors in bankruptcy cases, which allows them to be efficiently

apply the institution of contesting transactions of the debtor in accordance with the main III.1 of the Bankruptcy Law.

Thus, the institution of private detective activity involves a significant amount of tools for obtaining information that are used on a legal basis, which is their undeniable advantage.

Another argument in favor of resorting to the services of private detectives is the operational nature of their activities, which cannot be ignored in the conditions of regulated terms of bankruptcy procedures, including reduced terms for contesting transactions of a debtor on special grounds.

Использование услуг частных детективов в целях защиты прав и законных интересов кредиторов в деле о банкротстве.

Рассмотрение дел о банкротстве – существенная составляющая деятельности арбитражных судов. Одной из мер, применяемых в деле о банкротстве в целях защиты прав кредиторов посредством возвращения в конкурсную массу должника неправомерно отчужденного имущества, является оспаривание сделок должника в порядке, предусмотренном главой III.1 Федерального закона «О несостоятельности (банкротстве)» от 26.10.2002 № 127-ФЗ (далее – Закон о банкротстве). Эта глава содержит специальные (по отношению к установленным в ГК РФ) составы недействительности сделок должника, а именно – подозрительных сделок и сделок с предпочтением, правила о последствиях их недействительности и процессуальные особенности подачи и рассмотрения заявления об оспаривании сделки должника в деле о банкротстве.

Значимость института оспаривания сделок должника отчетливо проявляется и в том, что выявление сделок, не соответствующих законодательству Российской Федерации, в том числе подозрительных сделок и сделок с предпочтением, а также сделок, заключенных или исполненных на условиях, не соответствующих рыночным, представляет собой один из этапов проверки арбитражными управляющими наличия признаков фиктивного и преднамеренного банкротства. Совершение руководителем или учредителем должника действий (бездействия), содержащих такие признаки, в зависимости от размера причиненного ущерба влечет административную (ч. 2 ст. 14.12 КоАП) или уголовную (ст. 196 УК РФ) ответственность.

Зачастую выявление незаконных сделок должника в деле о банкротстве и их оспаривание представляют собой значительную трудность, поскольку должник и его заинтересованные лица уничтожают или искажают сведения об обстоятельствах, которые имеют значения для данной категории дел. В некоторых ситуациях для выяснения этих обстоятельств требуются специальные полномочия, которыми не обладают арбитражные управляющие и кредиторы в деле о банкротстве. В подобных случаях неоценимую помощь в защите прав и законных интересов кредиторов могут оказать лица, осуществляющие частную детективную деятельность. Подробнее остановимся на том, каким образом услуги частных детективов могут быть использованы для выявления и доказывания необходимых юридически значимых обстоятельств для оспаривания подозрительных сделок, то есть

сделок, совершенных должником в целях причинения вреда имущественным правам кредиторов (п. 2 ст. 61.2 Закона о банкротстве).

В 2010 г. возникавшие в судебной практике вопросы, связанные с применением главы III.1 Закона о банкротстве, были разъяснены в постановлении Пленума Высшего Арбитражного Суда РФ от 23.12.2010 № 63 (далее – постановление Пленума ВАС РФ № 63). В пунктах 5 – 7 названного постановления даны разъяснения, касающиеся оспаривания подозрительных сделок должника.

Для признания сделки недействительной по данному основанию необходимо, чтобы оспаривающее сделку лицо доказало, помимо всего прочего, что другая сторона сделки к моменту ее совершения знала или должна была знать о том, что должник преследовал цель причинения вреда имущественным правам кредиторов.

Цель причинения вреда имущественным правам кредиторов предполагается, если на момент совершения сделки должник отвечал признаку неплатежеспособности или недостаточности имущества, и имеется хотя бы одно из других обстоятельств, предусмотренных абзацами 2 – 5 п. 2 ст. 61.2 Закона о банкротстве. Среди таких обстоятельств следует особо выделить ситуации, когда должник изменяет свое место жительства или место нахождения без уведомления кредиторов непосредственно перед совершением сделки или после ее совершения, скрывает свое имущество, уничтожает или искажает правоустанавливающие документы, документы бухгалтерской, иной отчетности, учетные документы.

Перечисленные факты могут быть неочевидны и требовать осуществления сыскной деятельности, входящей в полномочия частных детективов.

В силу абз. 1 п. 2 ст. 61.2 Закона о банкротстве и по смыслу разъяснений, содержащихся в п. 7 постановления Пленума ВАС РФ № 63, предполагается, что другая сторона сделки знала о совершении сделки с целью причинить вред имущественным правам кредиторов, если она признана заинтересованным лицом, либо если она знала или должна была знать об ущемлении интересов кредиторов должника либо о признаках неплатежеспособности или недостаточности имущества должника.

Понятие заинтересованного лица раскрывается в ст. 19 Закона о банкротстве. Так, например, заинтересованными признаются аффилированные лица должника, а также широкий круг лиц, состоящих в отношения родства или свойства с руководителем должника, членами органов управления, главным бухгалтером, в том числе освобожденными от своих обязанностей в течение года до момента возбуждения производства по делу о банкротстве.

Как отмечалось ранее, должник и его заинтересованные лица всячески скрывают обстоятельства, свидетельствующие о заинтересованности, например, путем изменения фамилий, замены якобы утерянных паспортов на новые, не содержащие отметок о регистрации брака и т. д. Установление этих фактов также может быть предметом сыскной деятельности частных детективов.

Деятельность частных детективов регулируется Законом РФ от 11.03.1992 № 2487-1 «О частной детективной и охранной деятельности в Российской Федерации» (далее – Закон о частной детективной деятельности). В ст. 3 названного закона перечислены услуги, которые разрешается оказывать частным детективам. К числу услуг, которые могут быть использованы в целях выявления и последующего оспаривания подозрительных сделок должника, следует отнести:

1) сбор сведений по гражданским делам на договорной основе с участниками процесса (п. 1 ч. 2 ст. 3 Закона о частной детективной деятельности);

2) изучение рынка, сбор информации для деловых переговоров, выявление некредитоспособных или ненадежных деловых партнеров (п. 2 ч. 2 ст. 3 Закона о частной детективной деятельности);

3) поиск утраченного гражданами или предприятиями, учреждениями, организациями имущества (п. 6 ч. 2 ст. 3 Закона о частной детективной деятельности);

4) поиск лица, являющегося должником в соответствии с исполнительным документом, его имущества (п. 8 ч. 2 ст. 3 Закона о частной детективной деятельности).

В целях оказания названных услуг частные детективы вправе производить устный опрос граждан и должностных лиц (с их согласия), наведение справок, изучение предметов и документов (с письменного согласия их владельцев), внешний осмотр строений, помещений и других объектов, наблюдение для получения необходимой информации. При осуществлении частной сыскной деятельности допускается использование видео- и аудиозаписи, кино- и фотосъемки, технических и иных средств, не причиняющих вреда жизни и здоровью граждан и окружающей среде, в соответствии с законодательством Российской Федерации (ч. 1 и 2 ст. 5 Закона о частной детективной деятельности).

Очевидно, что в современных банкротных процессах, где должниками и контролирующими их лицами используются все более изощренные схемы ухода от расчетов с кредиторами, использование услуг частных детективов является перспективным направлением защиты прав и законных интересов кредиторов в деле о банкротстве, позволяющим максимально эффективно

применять институт оспаривания сделок должника в соответствии с главной III.1 Закона о банкротстве.

Таким образом, институт частной сыскной деятельности предполагает значительный объем инструментов по получению информации, которые используются на легальной основе, что является их неоспоримым преимуществом.

Еще одним аргументом в пользу обращения к услугам частных детективов является оперативный характер их деятельности, что нельзя не учитывать в условиях регламентированных сроков банкротных процедур, в т. ч. сокращенных сроков для оспаривания сделок должника по специальным основаниям.
